Norwegian salmon producer Måsøval has announced a proposal for an internal reorganisation involving a demerger and triangular merger.
The restructuring aims to streamline the company into a pure holding entity while isolating its aquaculture licenses within Måsøval Lisens AS, and transferring operational assets, employees, and related liabilities to Måsøval Drift AS.
The reorganisation, which replaces a similar plan from 2023, involves a series of demergers and mergers between Måsøval and its subsidiaries.
Under the plan, aquaculture licenses and biomass will be transferred to Måsøval Lisens AS, while operational assets will be transferred to Måsøval Drift AS.
The reorganisation is intended to be executed under the rules of the Limited Liability Companies Act and aims to optimise operational efficiency within the group.
The plan is set for approval at an extraordinary general meeting on 25 October 2024. If approved, Måsøval will emerge as a holding company, with operational and license activities managed through separate subsidiaries.
